These Terms of Service ("Terms") govern your access to and use of the Door Drop mobile application, website, package delivery services, package room services, and related services (collectively, the "Services") provided by Door Drop LLC ("Door Drop," "we," "our," or "us").

By creating an account, checking the box indicating your acceptance of these Terms, accessing the Services, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not create an account or use the Services.

1. About Door Drop

Door Drop provides package management and scheduled package room-to-door delivery services for participating apartment communities.

Depending on the participating community, Services may include package retrieval, package organization, package sorting, barcode scanning, package room-to-door delivery, delivery confirmation photography, resident notifications, package room organization systems, cubby and shelving systems, self-pickup organization, in-app messaging, customer support, and related package management services.

The availability, frequency, and specific features of the Services may vary by community.

Door Drop is not the original shipping carrier and is separate from carriers such as USPS, UPS, FedEx, Amazon, DHL, and other third-party delivery providers.

2. Eligibility

You must be at least eighteen (18) years old or otherwise possess the legal authority necessary to enter into these Terms.

Residents must reside in a participating apartment community to use resident-specific Services.

Employees and Property Managers must be properly authorized to access their respective portions of the Door Drop platform.

Door Drop may verify eligibility and authorization before providing access to certain features.

3. User Accounts

You agree to provide accurate, complete, and current information when creating and maintaining your account.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.

You agree to notify Door Drop promptly if you become aware of unauthorized access to your account.

Users may only access the portal and functionality authorized for their assigned account role.

Attempting to access another user's account, another role's restricted portal, administrative functionality, or otherwise restricted portions of the Services is prohibited.

Door Drop may suspend access when reasonably necessary to protect users, property communities, Door Drop systems, or the security of the Services.

4. Delivery Services

Packages continue to be shipped and delivered to participating apartment communities by the applicable third-party carrier.

Door Drop does not replace the original carrier and generally becomes involved only after a package has arrived at the participating community and is made available to Door Drop in an authorized package area.

Door Drop provides package delivery according to the schedule selected by the participating community.

Door Drop does not guarantee same-day delivery, a particular delivery time, uninterrupted service, or delivery during circumstances that make performance unsafe or impracticable.

Schedules may be affected by package volume, severe weather, emergencies, staffing, holidays, property access restrictions, building conditions, power or internet outages, or circumstances beyond Door Drop's reasonable control.

5. Chain of Custody

Door Drop's responsibility for an identifiable package begins when an authorized Door Drop representative takes physical possession of that package from the participating community's designated package area for purposes of providing the Services.

Door Drop is not responsible for a package before Door Drop takes possession of it.

This includes packages that have not arrived at the property; were delivered to another address, property, unit, or package room; were misplaced before Door Drop obtained possession; were removed by another person; or were incorrectly handled by a carrier, property employee, resident, or other third party before Door Drop obtained possession.

Door Drop's responsibility for a package ends when the applicable delivery or disposition has been completed and documented in accordance with these Terms, except to the extent applicable law provides otherwise.

6. Pre-Existing Damage and Carrier Errors

Door Drop exercises reasonable care while packages are within its possession.

Door Drop is not responsible for concealed damage, manufacturing defects, improperly packaged merchandise, missing contents, incorrect merchandise, carrier delays, carrier delivery errors, or damage that occurred before Door Drop took possession of a package unless Door Drop subsequently causes additional damage through its own actionable conduct.

Door Drop is not responsible for determining whether the contents of a sealed package are complete, correct, functional, undamaged, or consistent with an order placed by the resident.

Residents should direct claims involving original shipment, missing merchandise, merchant errors, or carrier-related damage to the merchant or applicable carrier when appropriate.

7. Delivery Confirmation

Door Drop may document deliveries using one or more forms of electronic confirmation, including photographs, timestamps, package scans, employee records, delivery location information, and system records.

A package is considered completed under Door Drop's service process when it has been placed at the authorized delivery location and the delivery has been appropriately recorded within the Door Drop system.

When available and enabled, a notification may then be sent or made available to the resident.

Completion of these procedures constitutes completion of Door Drop's delivery obligation for that package, except to the extent otherwise required by applicable law.

8. Delivery Photographs

Door Drop may photograph a package and the immediate surrounding delivery area for purposes including proof of delivery, service verification, security, customer support, dispute resolution, fraud prevention, and operational records.

Door Drop personnel should make reasonable efforts to limit photographs to the package and immediate delivery area.

Residents should avoid placing sensitive, confidential, or highly personal information in areas that may reasonably appear in a delivery confirmation photograph.

The collection, use, retention, and protection of information associated with delivery photographs is further governed by the Door Drop Privacy Policy.

9. Loss, Theft, and Damage After Delivery

Once a package has been delivered to the resident's authorized delivery location and documented through the Door Drop system, responsibility for safeguarding the package transfers to the resident, except where applicable law provides otherwise.

To the fullest extent permitted by law, Door Drop is not responsible for theft, disappearance, removal, weather exposure, damage by residents, guests, neighbors, property personnel, animals, or other third parties, or other events occurring after documented delivery.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability resulting from Door Drop's gross negligence or willful misconduct where applicable.

Residents are encouraged to retrieve delivered packages promptly after receiving notification.

10. Resident Delivery Instructions

Residents may be permitted to provide delivery instructions through the Door Drop platform.

Residents are responsible for ensuring those instructions are accurate, lawful, safe, and reasonably capable of being followed.

Door Drop may rely on resident-provided instructions when performing a delivery.

If a resident specifically requests delivery to a location that creates an increased risk of theft, weather exposure, unauthorized access, or other loss, the resident accepts the ordinary risks reasonably associated with the requested location, except where applicable law provides otherwise.

Door Drop may disregard instructions that are unsafe, unlawful, inaccessible, inconsistent with property rules, or unreasonable under the circumstances.

11. Opt Out and Vacation Hold

Where offered by the participating community, residents may be permitted to opt out of room-to-door delivery or place deliveries on Vacation Hold.

When an account is opted out or placed on Vacation Hold, Door Drop may continue organizing or processing packages within the participating community's package room while suspending room-to-door delivery.

Residents using self-pickup remain responsible for retrieving their packages from the designated package area.

Availability and operation of Opt Out and Vacation Hold may vary by participating community.

Residents are responsible for correctly activating and deactivating these preferences through the methods provided by Door Drop.

12. Unknown, Unidentified, and Undeliverable Packages

Door Drop may be unable to deliver a package when the package contains missing, inaccurate, illegible, outdated, or conflicting resident information.

Such packages may be classified as unknown, unidentified, unmatched, or undeliverable.

Door Drop may attempt to identify the appropriate recipient using information reasonably available through the Door Drop system or participating community.

Door Drop may return an unresolved package to the designated package area or transfer responsibility to authorized property management personnel in accordance with applicable community procedures.

Door Drop is not required to open packages to determine ownership.

Door Drop will not intentionally dispose of, destroy, or take ownership of an unidentified resident package except as authorized by applicable law or an applicable agreement with the participating community.

13. Package Restrictions

Door Drop reserves the right to refuse to handle any item that cannot reasonably or lawfully be transported through the Services.

Restricted items may include hazardous materials, illegal items, firearms or ammunition where prohibited or outside Door Drop's service policies, explosives, controlled substances, live animals, leaking packages, improperly contained materials, certain perishable goods, alcohol where prohibited, excessively heavy packages, and packages exceeding applicable size limitations.

Door Drop may also decline to handle a package that presents an unreasonable safety or property-damage risk.

14. Package Room and Cubby Systems

Participating communities may use Door Drop package-room organization systems, including shelving or cubby systems.

Unless expressly identified as a secured locker, a Door Drop cubby or shelving location is an organizational storage location and should not be interpreted as an individually secured package locker.

Residents choosing self-pickup are responsible for promptly retrieving their packages.

Installation, ownership, maintenance, warranties, property modifications, and commercial terms concerning package-room organization systems are governed by Door Drop's agreement with the participating community where applicable.

15. Resident Responsibilities

Residents are responsible for maintaining accurate account, apartment, building, and contact information.

Residents must provide accurate delivery instructions, maintain reasonably safe and accessible delivery areas, retrieve delivered or self-pickup packages promptly, and report legitimate delivery concerns within a reasonable period after discovery.

Residents may not knowingly provide false information, submit fraudulent package claims, manipulate delivery records, or interfere with another resident's packages.

16. Community Responsibilities

Participating communities are responsible for providing Door Drop with authorized access reasonably necessary to perform the Services, maintaining reasonably safe access to buildings and package areas, communicating relevant access restrictions, and providing or maintaining accurate resident information where required under the applicable property agreement.

The respective obligations between Door Drop and a participating community are primarily governed by the separate agreement between Door Drop and that community.

If these Terms conflict with a separately executed agreement between Door Drop and a participating community regarding the community's commercial obligations, the executed community agreement controls with respect to those obligations.

17. Acceptable Use

You may not attempt unauthorized access to Door Drop systems; interfere with the Services; upload malicious code; manipulate package, delivery, or account records; submit knowingly false delivery claims; impersonate another person; access another user's packages or information without authorization; harass or threaten Door Drop personnel or other users; exploit security vulnerabilities; or use the Services for unlawful purposes.

Door Drop may investigate suspected abuse and take reasonable measures to protect its users, employees, communities, and systems.

18. Fees and Billing

The financial arrangement for Door Drop Services may vary by participating community.

A community may pay Door Drop directly, include the Service as a community amenity, or impose charges on residents pursuant to the community's own agreements and applicable law.

Unless Door Drop expressly establishes a direct billing relationship with a resident, charges imposed by an apartment community are governed by the resident's relationship with that community and not by these Terms.

If Door Drop later offers a direct recurring paid subscription, applicable pricing, renewal terms, billing frequency, and cancellation procedures will be disclosed before enrollment and handled in accordance with applicable law.

19. Intellectual Property

The Door Drop name, trademarks, logos, applications, software, source code, interfaces, graphics, designs, documentation, processes, content, technology, and related intellectual property are owned by Door Drop LLC or its applicable licensors.

No portion of the Services may be copied, reproduced, modified, distributed, reverse engineered, sublicensed, commercially exploited, or used in violation of applicable intellectual property rights except as expressly permitted by Door Drop in writing or as otherwise permitted by law.

20. Privacy and Data Security

Use of the Services is governed by the Door Drop Privacy Policy.

Door Drop may process information reasonably necessary to operate the Services, including account information, community and unit information, package records, delivery information, photographs, communications, device information, and related operational records as described in the Privacy Policy.

Door Drop will use reasonable administrative, technical, and organizational safeguards appropriate to the nature of information it processes.

21. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DOOR DROP SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SERVICES, INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF DATA, OR INTERRUPTION OF SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, DOOR DROP'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO A RESIDENT'S USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT DIRECTLY PAID BY THE RESIDENT TO DOOR DROP FOR THE SERVICES DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

Where Services are paid entirely by a participating community, the separate Master Services Agreement between Door Drop and that community governs Door Drop's commercial liability to the community.

The limitations contained in this Section do not apply to liability that cannot legally be limited or excluded.

22. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

DOOR DROP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, AVAILABLE AT ALL TIMES, OR FREE FROM EVERY DELAY, LOSS, SECURITY INCIDENT, THIRD-PARTY FAILURE, OR OTHER INTERRUPTION.

NOTHING IN THIS SECTION DISCLAIMS WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED.

23. Force Majeure

Door Drop shall not be responsible for delays or failures in performance caused by circumstances beyond its reasonable control, including hurricanes, floods, tornadoes, fires, severe weather, natural disasters, acts of war or terrorism, civil disturbances, governmental actions, building closures, internet outages, power failures, labor disruptions, carrier disruptions, public health emergencies, pandemics, or similar events.

Door Drop may temporarily modify, delay, or suspend affected Services for the duration of such circumstances.

24. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Door Drop LLC and its owners, officers, employees, contractors, affiliates, successors, and assigns from third-party claims, liabilities, damages, losses, and reasonable costs arising from your intentional misuse of the Services, fraudulent conduct, violation of these Terms, violation of applicable law, or infringement of another person's rights.

Door Drop reserves the right to control the defense of a matter subject to indemnification, and you agree to provide reasonable cooperation.

This provision does not require you to indemnify Door Drop for Door Drop's own conduct to the extent such an obligation would be prohibited by applicable law.

25. Service Termination, Opt Out, and Account Deletion

Stopping room-to-door delivery, opting out of delivery, deleting a Door Drop account, and terminating a paid service are separate actions and may have different consequences.

Residents may discontinue use of Door Drop where permitted by their participating community and may use available Opt Out or Vacation Hold functionality where offered.

Door Drop may suspend or restrict an account for fraud, abuse, unauthorized access, threats, unlawful conduct, security risks, or material violations of these Terms.

Users may request permanent deletion of their Door Drop account through the account deletion functionality provided within the application.

Account deletion will be handled in accordance with the Door Drop Privacy Policy and applicable law. Certain information may be retained when reasonably necessary or legally permitted for purposes such as transaction records, fraud prevention, security, legal claims, regulatory obligations, and enforcement of agreements.

Deleting a Door Drop account does not automatically cancel or modify obligations arising under a separate lease, property agreement, employment arrangement, or other agreement with a participating community.

26. Electronic Communications and Consent

By creating an account and using the Services electronically, you consent to receive service-related communications electronically to the extent permitted by law.

These communications may include account notices, delivery confirmations, security alerts, changes to the Services, Terms updates, and other transactional communications through the application, push notifications, email, or other methods you authorize.

Marketing communications will be handled separately where consent is required by applicable law.

Your electronic acceptance of these Terms is intended to constitute your agreement to them.

Florida law generally recognizes electronic records, signatures, and contracts and provides that they cannot be denied legal effect solely because they are electronic.

27. Changes to the Services

Door Drop may modify, improve, replace, suspend, or discontinue features of the Services from time to time.

Where a change materially affects a user's contractual rights or obligations, Door Drop will provide notice where required by applicable law.

28. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent mandatory laws applicable to a particular user provide otherwise.

Subject to applicable law, legal proceedings arising from these Terms shall be brought in an appropriate state or federal court located in Florida.

Nothing in this Section deprives a consumer of rights that cannot legally be waived by contract.

29. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed to the extent necessary, and the remaining provisions shall continue in full force and effect.

30. No Waiver

Door Drop's failure to enforce any provision of these Terms on one occasion does not waive its right to enforce that provision or any other provision in the future.

Any waiver by Door Drop must be expressly made in writing by an authorized representative.

31. Assignment

You may not assign or transfer your rights or obligations under these Terms without Door Drop's prior written consent.

Door Drop may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of substantially all relevant assets, or other lawful transfer of the business, subject to applicable law.

32. Entire Agreement

These Terms, together with the Door Drop Privacy Policy and any other terms expressly incorporated by reference, constitute the agreement between Door Drop and the individual user regarding use of the Services.

Separate agreements between Door Drop and apartment communities, employees, contractors, or other business customers may impose additional obligations on those parties.

33. Changes to These Terms

Door Drop may update these Terms periodically.

If changes are material, Door Drop may provide notice through the application, website, email, or another reasonable method.

Where applicable law requires affirmative consent to a change, Door Drop will obtain that consent before the change becomes binding.

Otherwise, continued use of the Services after revised Terms become effective constitutes acceptance to the extent permitted by law.
